The transaction also includes an earnout where the sellers can earn up to another $20.0 million (\u20ac18.5 million) of consideration if certain performance criteria are achieved. In addition to owning and operating clinics, USPH manages 39 physical therapy facilities for unaffiliated third parties, including hospitals and physician groups.
