Livingstone a conseill\u00e9 VDT Vakuumdichttechnik GmbH (\u00ab VDT \u00bb ou \u00ab la Soci\u00e9t\u00e9 \u00bb) dans le cadre de la cession des principaux actifs op\u00e9rationnels de l’entreprise sous la forme d’un asset deal \u00e0 <\/strong>Maldaner GmbH <\/strong><\/a>(\u00ab Maldaner \u00bb), filiale allemande de la soci\u00e9t\u00e9 britannique <\/strong>Ultraseal International<\/strong><\/a>, un fournisseur mondial de premier plan de services et de r\u00e9sines d’impr\u00e9gnation pour le scellement de mat\u00e9riaux poreux. Ultraseal International est une filiale du groupe chimique am\u00e9ricain <\/strong>Quaker Houghton<\/strong><\/a>, l’un des leaders mondiaux des fluides de proc\u00e9d\u00e9s industriels. Livingstone est intervenu en tant que conseiller exclusif en M&A de VDT. Les conditions financi\u00e8res de la transaction ne sont pas divulgu\u00e9es.<\/strong><\/p>

Bas\u00e9e \u00e0 Monheim am Rhein, VDT d\u00e9veloppe et fabrique des r\u00e9sines d’impr\u00e9gnation pour les pi\u00e8ces m\u00e9talliques poreuses et autres composants non m\u00e9talliques. La Soci\u00e9t\u00e9 est active dans le d\u00e9veloppement et le commerce international de r\u00e9sines, ainsi que dans l’impr\u00e9gnation \u00e0 fa\u00e7on. Les r\u00e9sines d’impr\u00e9gnation d\u00e9velopp\u00e9es en interne sont principalement utilis\u00e9es pour le traitement, par exemple, de pi\u00e8ces moul\u00e9es sous pression, de raccordements de tuyaux ou d’autres pi\u00e8ces fritt\u00e9es dans un large \u00e9ventail d’industries, en particulier dans le secteur automobile.<\/p>

Maldaner GmbH<\/a>, bas\u00e9e \u00e0 Langenfeld pr\u00e8s de D\u00fcsseldorf, est un pionnier dans le domaine de l’\u00e9tanch\u00e9it\u00e9 et de l’impr\u00e9gnation de composants m\u00e9talliques poreux. Gr\u00e2ce \u00e0 plusieurs sites d’impr\u00e9gnation \u00e0 fa\u00e7on \u00e0 l’\u00e9chelle nationale, l’entreprise est un fournisseur leader de services d’impr\u00e9gnation \u00e0 fa\u00e7on en Allemagne. En outre, Maldaner est active au niveau national et international en tant que distributeur de r\u00e9sines d’impr\u00e9gnation de la marque IMP et en tant que concepteur et fabricant de syst\u00e8mes d’impr\u00e9gnation.<\/p>

Dans le cadre d’un asset deal, Maldaner acquiert les principaux actifs de VDT et ainsi l’activit\u00e9 op\u00e9rationnelle, y compris l’ensemble des employ\u00e9s, brevets, marques et relations clients. Les services existants de VDT seront regroup\u00e9s au cours des prochains mois au si\u00e8ge social de Maldaner, \u00e0 Langenfeld. Les dirigeants de VDT continueront de conseiller Maldaner pendant une p\u00e9riode de transition d\u00e9termin\u00e9e et d’accompagner le processus d’int\u00e9gration.<\/p>
