The evening had a clear purpose: <\/strong><strong>share knowledge to <\/strong><strong>create the best possible conditions for our clients.<\/strong>\n<br>\n\n<br>\nSetterwalls began with an overview of two current regulations that will impact business transactions going forward:\n<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>The FDI Act<\/strong> \u2013 requires that investments in sensitive operations be reported and approved before execution, which affects timelines and structure in M&amp;A processes. Timing of the application is therefore crucial and can significantly influence how the process is planned and carried out.<br><\/li>\n\n\n\n<li><strong>The new 3:12 rule<\/strong> \u2013 simplifies taxation for privately held companies starting in 2026, with an increased basic amount and removal of salary requirements, creating new opportunities for ownership planning.<br><\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">\n<br>\n<em>\u201cThe regulations we discussed, such as the FDI Act and the <\/em><em>new, so called,<\/em><em> 3:12 rule, not only affect the structure of a deal \u2013 they also impact timing and process planning to achieve the desired outcome. Having the opportunity to analyze these together with our industry colleagues is essential to stay ahead and create solutions that work in practice,\u201d<\/em> says <strong><a href=\"https:\/\/livingstonepartners.com\/nl\/team\/isac-stenborg\">Isac Stenborg<\/a>, Partner at Livingstone Stockholm.<\/strong>\n<br>\n\n<br>\nLivingstone then presented how we work to create value in complex transactions. Among other things, we explained the impact of <strong>Enterprise<\/strong><strong> Value and Equity Value bridge<\/strong> \u2013 a balanced dynamic designed to secure value for both buyers and sellers. We also reviewed settlement models such as <strong>Locked Box<\/strong> and <strong>Completion Accounts<\/strong>, to give insight into how we handle pricing adjustments and processes. Through our in-depth analysis and structured methodology, we ensure that every solution is tailored to the client\u2019s long-term goals and business strategy.\n<br>\n\n<br>\nThe evening concluded with networking, where conversations and the sharing of experiences offered valuable insights into navigating an increasingly complex business environment. Understanding each other\u2019s approaches is beneficial for creating efficient and successful deals.
