Aff\u00e4ren var villkorad av vissa villkor och myndighetsgodk\u00e4nnande. Samtliga villkor \u00e4r nu uppfyllda.<\/p>\n<p>Som tidigare meddelats finansierar Carnegie f\u00f6rv\u00e4rvet genom en apportemission av aktier i Carnegie riktad till s\u00e4ljarna av aktierna i Max Matthiessen. Vid dagens styrelsem\u00f6te fattade d\u00e4rf\u00f6r styrelsen i Carnegie beslut om \u00f6kning av bolagets aktiekapital med h\u00f6gst 12 084 712 kronor genom utgivande av h\u00f6gst 6 042 356 nya aktier, vilka tecknades idag av aktie\u00e4garna i Max Matthiessen och betalades med apportegendom i form av samtliga aktier i Max Matthiessen. F\u00f6rv\u00e4rvsv\u00e4rdet baseras p\u00e5 6 042 356 aktier v\u00e4rderade till Carnegie-aktiens slutkurs per den 20 mars 2007 med till\u00e4gg f\u00f6r transaktionskostnader om 10 miljoner kronor. De nya aktierna ber\u00e4ttigar till utdelning f\u00f6r r\u00e4kenskaps\u00e5ret 2006. Carnegie har ans\u00f6kt om registrering av nyemissionen till Bolagsverket.<\/p>\n<p>Carnegie har utsett 4 representanter till Max Matthiessens styrelse. Dessa \u00e4r Matti Kinnunen, COO p\u00e5 Carnegie, Ulf Fredrixon, CFO p\u00e5 Carnegie, Lars Risland, Carnegie, och Christoffer Folkebo, VD f\u00f6r Max Matthiessen.<\/p>\n<p>Verksamheten kommer att bedrivas under varum\u00e4rket Max Matthiessen och blir ett frist\u00e5ende aff\u00e4rsomr\u00e5de inom Carnegie. Christoffer Folkebo kommer att ing\u00e5 i Carnegies ledningsgrupp. Max Matthiessens oms\u00e4ttning pro forma f\u00f6r 2006 uppgick till 516 miljoner kronor och vinst f\u00f6re skatt till 84 miljoner kronor. Max Matthiessen konsolideras i Carnegie per den 31 mars 2007, vilket inneb\u00e4r att Max Matthiessen ing\u00e5r resultatm\u00e4ssigt i Carnegiekoncernen de tre sista kvartalen
