Livingstone is pleased to announce the sale of substantially all of the assets of <\/strong>Right\/Pointe, LLC<\/strong><\/a> (the \u201cCompany\u201d) to <\/strong>Crafco, Inc.<\/strong><\/a> (\u201cCrafco\u201d), a subsidiary of <\/strong>Ergon, Inc.<\/strong><\/a>  Livingstone was the exclusive financial advisor to Right\/Pointe.  Terms of the transaction were not disclosed.<\/strong><\/p>

Founded in 1996 and headquartered in Dekalb, IL, Right\/Pointe is a leading producer of joint sealant and highway cure products serving roadway maintenance, repair, and construction applications.  The Company\u2019s commitment to customer service has resulted in a diverse customer base that relies on Right\/Pointe for product development and testing, positioning the Company as a supplier of choice in its industry.<\/p>

Founded in 1976 and headquartered in Chandler, AZ, Crafco is an industry leader in asphalt and concrete preservation products, including hot-applied crack sealants, silicone joint sealants, hot-applied mastics, and cold-mix-for-pavement surface patching and repair.<\/p>

Don Brooks, President of Crafco<\/strong>, stated, \u201cThe Right\/Pointe acquisition will enhance Crafco\u2019s ability to serve existing customers in the Midwestern United States.  It will expand our customer base and expand our product lines to include highway cures and commercial liquids.  This aligns with our long-term strategy of expanding into markets and product lines that solidify Crafco\u2019s position as the world\u2019s leading manufacturer of quality packaged pavement preservation products.\u201d<\/em><\/p>

This transaction represents Livingstone\u2019s 66th global Industrial transaction since 2018, following the sale of Schumacher to Lincolnshire Management and the sale of L.T. Harnett to A&R Logistics.<\/p>

The Right\/Pointe transaction represents another successful transaction for Livingstone\u2019s special situations group, following the recent sale of multiple product lines for Directed, LLC, and the recent \u00a7363 sale of Arro Corporation to Mount Franklin Foods.<\/p>

AEG Partners<\/a> LLC served as restructuring advisor and interim management to Right\/Pointe.  McDonald Hopkins<\/a> LLC provided legal counsel to the Company, and Watson Jones PLLC<\/a> provided legal counsel to
