立石为Norman Hay Group兼并IMP成为全球浸渍密封剂领导者提供咨询
The Düsseldorf sector team Industrials acted as exclusive M&A advisor to the shareholders of Internationale Metall IMPrägnier GmbH (IMP) in its sale to the UK-based Norman Hay Group. Through this acquisition IMP and Norman Hay will form a global impregnation sealants champion. Terms of the transaction were not disclosed.
Headquartered in Monheim am Rhein near Düsseldorf, IMP is not only a pioneer in and owner of patents within the process for sealing and impregnating of porous metal components (together with the company Ing. Hubert Maldaner GmbH (Maldaner)), but also one of the leading global manufacturers of impregnation sealants and chemical additives.
Norman Hay, headquartered in Coventry, UK, is a globally recognised leader in the manufacture of speciality industrial chemicals, sealants, surface coatings and process plants. Norman Hay operates in three main business areas: surface coatings with Surface Technology and SIFCO ASC; impregnation sealants equipment and services with UltrasealInternational, which also encompasses the Sterr & Eder Group from Landshut, Germany and process plant and equipment with NHE.
“IMP’s shareholding structure evolved over time, with the majority of its shareholders raising the question of future succession with regards to their investments. In light of this, we are pleased to now be part of the Norman Hay Group and together with Ultraseal form an international champion for impregnation sealants,” commented Georg Janssen, Managing Director of IMP. “Collaborating with Livingstone was essential for the successful execution of this transaction. Both the shareholders and I always felt perfectly supported throughout the process”.
“We are pleased that the shareholders of IMP were open to our approach to acquire the IMP business and I firmly believe that this acquisition represents a win-win-situation for all parties involved. Ultraseal International is the global market leader in the supply of impregnation sealants and equipment and was the first company to introduce a recycling sealant. With the acquisition of IMP, Norman Hay has strengthened further our market leadership position in the development , manufacture and global supply of impregnation sealants”, added Vic Bellanti, CEO of Norman Hay.
“As it is never a simple undertaking when two industry heavyweights come together, it was all the more pleasant when our discussions and negotiations took place in a very trusting and future-oriented atmosphere. It is nice to know that all parties involved felt they have completed a highly satisfactory transaction”, commented Jochen Hense, Managing Partner at Livingstone Düsseldorf and the responsible Partner for this transaction.
In tandem with the sale of Internationale Metall IMPrägnier GmbH, Livingstone also advised the Maldaner Family on the sale of the majority of assets of Ing. Hubert Maldaner GmbH to Norman Hay.
“Both transactions are closely intertwined: while Ultraseal and IMP form an international champion for the development, manufacturing and distribution of impregnation sealants, the acquisition of impregnation job shops in Langenfeld, Leipzig and Unterensingen, as well as the brand “Maldaner” provide Norman Hay with a significantly strengthened foothold in the German market”,” commented Johannes Faber, Associate Director at Livingstone Düsseldorf.
