Livingstone is pleased to announce that its Benelux team acted as M&A advisor in the sale of 1TIS to Vortex Capital Partners. As part of the same transaction, Vortex Capital Partners simultaneously acquired a majority stake in TravelSpirit, creating a combined platform for ERP software in the travel industry. The terms of the transaction were not disclosed.
1TIS, based in the Netherlands, develops enterprise resource planning (ERP) software for the travel industry, with a strong focus on group travel. Its platform supports travel organisations in managing their operational and commercial processes, and processes significant volumes of travel revenue on an annual basis.
As part of the transaction, Vortex Capital Partners combined 1TIS with TravelSpirit, a complementary ERP software provider serving tailor-made travel operators and destination management companies (DMCs). Together, the two companies support over 3,000 daily users, process approximately €1.5 billion in annual travel revenue, and employ approximately 40 people. The combination brings together two complementary specialists, creating a platform with broader coverage across travel organisation types.
Vortex Capital Partners focuses on mission-critical B2B SaaS platforms and marks its entry into the travel industry with this investment. The partnership positions the combined group to accelerate product development, expand its customer base, and pursue further growth across the Netherlands, Belgium, and broader Europe.
