Livingstone acted as financial advisor to Carnovali-CBS Group, a leading Italian player in the recycling equipment and solutions industry, assisting the Group in structuring the financing and supporting it throughout the identification and selection of financing partners, the negotiation of the key terms and conditions, and the execution of the relevant financing documentation.
The transaction involved a pool of banks comprising BCC Banca Iccrea, acting as agent bank and lender, together with UniCredit and BCC del Garda as lenders.
Carnovali-CBS Group is one of Italy’s leading industrial players in recycling equipment and vehicle solutions. With 7 production facilities and more than 350 employees, the Group offers a broad and diversified portfolio of products and services, including containers, compactors, hook-lift systems, trailers and other solutions serving the circular economy.
The financing was arranged to support the acquisition of 100% of Officine Minelli, a long-established manufacturer of industrial loaders for the recycling sector. Founded in the 1950s, Officine Minelli has established itself as one of the leading Italian players in its market segment, building its positioning on a product offering recognised for its quality, reliability and high performance.
The transaction enables Carnovali-CBS Group to further broaden its offering through complementary solutions, strengthen its market leadership and exceed €100 million in consolidated revenues.
The integration of Officine Minelli represents an important milestone in Carnovali-CBS Group’s consolidation journey, combining continued organic development with an inorganic growth strategy pursued through targeted M&A transactions.
