Livingstone Advises Western Integrated Seed on Strategic Transaction with Wyffels Hybrids

Transaction preserves WIS’s independence and establishes a long-term strategic relationship with Wyffels

Livingstone’s Food & Agriculture team is pleased to announce that its client, Western Integrated Seed (“WIS” or the “Company”), has completed a strategic transaction with Wyffels Hybrids (“Wyffels”), one of the largest independent seed corn companies in the United States. Under the transaction, Wyffels has acquired real estate and certain production assets at WIS facilities in Nebraska, Minnesota and Iowa. Financial terms of the transaction were not disclosed; the transaction closed in August 2026.

Headquartered in Hooper, Nebraska, Western Integrated Seed is one of the largest family-owned, independent hybrid seed production companies in the nation. The Company provides a broad range of tailored seed production solutions and comprehensive value-added services, including field-level seed production, conditioning, treating, packaging, logistics and distribution, supporting leading seed companies across the United States.

Importantly, WIS will continue operating as an independent seed production business, serving its customers and partners across the seed industry. Under long-term agreements with Wyffels, WIS will continue operating from key facilities acquired in the transaction, with additional production and transition arrangements supporting the long-term relationship between the companies. The transaction provides WIS with additional flexibility to invest in growth and diversification while establishing a long-term strategic relationship between two highly respected participants in the seed industry.

“Western Integrated Seed has built an exceptional reputation as a trusted production partner to the seed industry,” said Joe Crotty, Managing Director at Livingstone. “We are proud to have advised WIS on a transaction that preserves the Company’s independence while positioning the business for its next phase of growth. The long-term strategic relationship established with Wyffels creates a compelling foundation for both organizations going forward.”

The transaction represents an important strategic investment for Wyffels as it continues to expand its seed production capabilities and support the long-term growth of its business.

“Livingstone was an invaluable partner to WIS throughout this process,” said Chris Hoegemeyer, Chief Executive Officer of Western Integrated Seed. “Their team understood our business, our industry and, most importantly, what we wanted to accomplish. They helped us navigate a complex transaction and develop a structure that strengthens WIS while allowing us to remain independent, continue serving our customers and invest in the future of the Company.”

“WIS and Wyffels are two highly respected organizations with deep roots in the seed industry, and this transaction represents a compelling outcome for both companies,” said Eric Suh, Managing Director at Livingstone. “The transaction demonstrates the value of developing creative solutions that address the unique strategic and financial objectives of our clients and further reinforces Livingstone’s commitment to advising leading businesses across the agriculture value chain.”

The transaction further expands Livingstone’s track record across the global agribusiness sector, including seed and genetics, crop inputs, agricultural technology, animal health and nutrition, food ingredients and agricultural processing.

Koley Jessen acted as legal advisor and Katz, Sapper & Miller provided transaction-related accounting services to WIS in connection with the transaction. Michael Best & Friedrich acted as legal counsel to Wyffels.
