Livingstone acted as exclusive financial advisor to Rortos S.r.l. (”Rortos”), a leading international developer of mobile flight simulator games, in its merger with Reludo S.r.l. (”Reludo”), an Italian gaming studio renowned for its successful casual and impulse-driven mobile titles.
Founded in 2012 in Verona by Roberto Simonetto, Rortos has become a global reference in the mobile flight simulation segment, with a portfolio spanning civil aviation, military, naval, helicopter, and combat scenarios. Its games are available across multiple platforms including iOS, Android, Steam, Xbox One, and PlayStation 4. While the company had achieved strong organic growth, a strategic shift toward scalability and managerial reinforcement was needed to fully capitalize on its technical leadership.
Reludo, led by gaming veteran Davide Farina, focused on high-download mobile games in the casual and impulse category, leveraging a faster development cycle and broad market appeal.
The merger brought together two complementary profiles: Rortos’ deep technical expertise and product innovation, with Reludo’s managerial experience and commercial agility. The new entity, structured with Roberto Simonetto holding 60% and Davide Farina 40%, combined forces to expand internationally and diversify the product pipeline. Governance was structured to reflect a clear division of responsibilities – s Simonetto leading technology and product, and Farina overseeing operations and business development – with the shared goal of building a high-growth platform aimed at a strategic exit within 2–3 years, which was successfully achieved.
“We’re honoured to have advised on this strategic merger, structuring the deal and supporting the governance framework,” said Luca Maccagnani Castelli, Managing Partner at Livingstone. “This transaction unites two outstanding studios into a true national champion with complementary strengths and global ambitions.”
This deal underscores Livingstone’s ability to manage technically complex and strategically sensitive transactions, particularly in digital media and interactive entertainment, where talent, governance, and growth vision must align.
