The Livingstone German Distressed M&A and Industrial team has advised the administrator Stefan Meyer as M&A advisor on the sale of Armatherm Günthel Fabrik technischer Meßinstrumente GmbH, a company for measurement engineering and the manufacturing of thermometers, to the newly founded ARMATHERM Fabrik technischer Messgeräte GmbH & Co. KG.
Armatherm Güntel Fabrik technischer Messinstrumente GmbH is a manufacturer for measurement equipment and thermometers with its registered office and production site in Lemgo (Germany). Armatherm offers control thermometers, laboratory thermometers, manometers, syringes, frost protection testers and calibration services as well as safety mountings and mechanical bimetal thermometers and remote thermometers with digital units. Additionally, specially manufactured devices and other measurement products are part of the company´s portfolio.
“Within just five weeks after having mandated Livingstone and thus in a remarkably short time it was possible to develop a r solution. A fast and professional sales process was of particular importance for the customers and suppliers to have order and planning safety”, explains lawyer and administrator Stefan Meyer.
In October 2015. Livingstone has been mandated to initiate a structured M&A process with the aim of identifying an investor who will acquire the business operations of Armatherm. After a few weeks, shareholder and CEO of Manfred Jünemann Mess- und Regeltechnik GmbH, Bad Salzuflen (Germany), Mr. Manfred Jünemann, was found and took over Armatherm´s business operations for an undisclosed amount by founding Armatherm Fabrik technischer Messgeräte GmbH & Co. KG.
Mr. Jünemann said the transaction: “The acquisition is an important step for our company and strengthens our market position in the area of measurement equipment. I am very happy about the process and the synergies will be an advantage for our customers. Armatherm is a win for us with its long track record and experience in manufacturing measurement devices and I am sure it will develop successfully.”
