Livingstone acted as financial advisor to Gefran S.p.A., a company specializing in the design and production of sensors, components, and solutions for industrial process automation and control, in the acquisition of a majority stake in CZ Elettronica S.r.l., together with its subsidiary Mecatronica S.r.l., both based in the province of Vicenza.
The agreement provides for Gefran’s entry into the share capital of CZ Elettronica S.r.l. through a transfer of shares, following which Gefran S.p.A. holds a 60% stake in the company.
The agreement includes put & call options that may lead Gefran to acquire 100% of CZ Elettronica S.r.l. within one year of the approval of the financial statements as of December 31, 2027. The investment agreement also includes the signing of a long-term management contract with the company’s current leadership to ensure continuity and support its growth plans.
Founded in 1986 in Vicenza’s industrial automation district, CZ Elettronica specializes in the development of customized solutions and turnkey systems for the steel, textile, and plastics sectors, as well as systems for industrial motor control. The company stands out for its continuous innovation, use of advanced digital technologies, and a highly qualified team of technicians.
